1. Services Description

KSHR Consulting provides technology-assisted talent acquisition services. We source, screen, and present candidates to client companies for direct employment. Our role is that of a recruitment intermediary \u2014 we are not an employer, staffing agency, or employer of record.

• Candidates placed through KSHR Consulting are hired directly by the client company.
• KSHR Consulting is not party to the employment contract between candidate and client.
• We use AI tools to assist with resume parsing and candidate matching. These are decision-support tools; all final hiring decisions rest with the client.
• Services are offered to clients in India and internationally. Specific terms for international engagements may be agreed separately.

2. Client Obligations

Clients engaging KSHR Consulting to source candidates agree to the following:

Accurate job briefs

• Provide accurate, complete, and up-to-date job descriptions before sourcing begins.
• Disclose the approved salary range, seniority expectations, and must-have skills.
• Notify KSHR Consulting immediately if the role changes materially or is put on hold.

Timely feedback

• Provide feedback on submitted candidate profiles within 5 business days.
• Communicate interview outcomes within 2 business days of each interview.
• Inform KSHR Consulting of offer decisions within 1 business day of making an offer.
• Unreasonable delays that cause candidate drop-off do not reduce the placement fee.

Direct contact

• Candidates introduced by KSHR Consulting may not be contacted directly outside the KSHR Consulting process without written consent.
• If a client hires a KSHR Consulting-introduced candidate within 12 months of introduction \u2014 through any channel \u2014 the placement fee applies.

3. Candidate Obligations

Candidates registered with KSHR Consulting agree to the following:

Accurate information

• Provide accurate information in all forms, resumes, and conversations.
• Disclose current notice period, existing offer deadlines, and competing processes.
• Inform KSHR Consulting immediately if your situation changes (role accepted elsewhere, salary expectations revised, etc.).

Good faith participation

• Attend scheduled interviews or provide 24-hour advance notice if cancelling.
• Do not use KSHR Consulting-facilitated interviews solely to obtain competing offers.
• Misrepresentation of qualifications, employment history, or compensation is grounds for immediate withdrawal from the process.

Consent to sharing

• By registering, you consent to KSHR Consulting sharing your profile with relevant client companies.
• You may withdraw consent at any time by emailing hello@kshrconsulting.com.

4. Fee Structure and Payment Terms

KSHR Consulting charges a placement fee to the client upon successful hire of a candidate. Fees are calculated as a percentage of the candidate's first-year gross salary (fixed component).

Standard fee schedule

• Junior roles (0\u20133 years experience): 15% of first-year salary
• Mid-level roles (3\u20137 years experience): 18% of first-year salary
• Senior roles (7+ years experience): 20\u201325% of first-year salary

The applicable percentage is agreed in writing before sourcing begins. Custom fee arrangements for volume clients or retained searches are available.

Payment schedule

• 50% of the fee is due within 7 days of the candidate accepting a written offer.
• 50% of the fee is due within 7 days of the candidate's confirmed joining date.

Invoices not paid within 15 days of due date attract a late fee of 1.5% per month. KSHR Consulting reserves the right to suspend active searches for clients with overdue invoices.

GST

All fees are exclusive of applicable GST (currently 18% for recruitment services in India). GST will be added to invoices for Indian entities. International clients are invoiced in USD and are exempt from Indian GST subject to applicable export of service rules.

5. 60-Day Guarantee

KSHR Consulting offers a free replacement guarantee if a placed candidate exits \u2014 voluntarily or involuntarily \u2014 within 60 days of their joining date.

Conditions

• The client must notify KSHR Consulting in writing within 5 days of the candidate's last working day.
• The replacement search begins upon receipt of an updated (or confirmed unchanged) job brief.
• One replacement search is provided at no additional fee. Replacement candidates are drawn from a fresh search, not a previous shortlist.
• The guarantee applies to the same role and seniority level as the original placement.

Exclusions \u2014 the guarantee does not apply if

• The candidate was made redundant due to a company restructure, layoff, or role elimination.
• The client materially changed the role, location, or compensation after the offer was accepted.
• The second tranche of the placement fee (joining payment) has not been received.
• The candidate's exit was caused by a hostile work environment, as determined by KSHR Consulting's reasonable assessment.
• The role is put on hold or cancelled after the candidate exits.

The guarantee is limited to one replacement per placement. It does not entitle the client to a fee refund if a suitable replacement candidate is not found.

6. Confidentiality

Salary information

• Candidate current and expected salary details are shared with clients only in aggregate or anonymised form during early stages.
• Specific salary figures are disclosed to clients only when necessary to progress to the offer stage, and only with candidate consent.
• Client salary budgets and internal compensation bands shared with KSHR Consulting are treated as confidential and not disclosed to candidates or third parties.

General confidentiality

• Both parties agree to keep confidential any non-public business information shared during the course of engagement.
• KSHR Consulting will not disclose the identity of client companies to candidates without the client's consent (relevant for confidential searches).
• This confidentiality obligation survives termination of the engagement for a period of 2 years.

7. Intellectual Property

All AI-generated candidate assessments, matching scores, and reports produced by KSHR Consulting remain the intellectual property of KSHR Consulting. Clients receive a licence to use these outputs for internal hiring decisions only. Outputs may not be resold, published, or shared with third parties.

8. Limitation of Liability

KSHR Consulting acts as an intermediary and does not guarantee that any candidate will accept an offer, remain employed, or meet performance expectations after joining.

• KSHR Consulting's total liability to a client in connection with any placement shall not exceed the placement fee paid for that specific role.
• KSHR Consulting is not liable for any indirect, consequential, or incidental losses including lost profits, project delays, or business disruption arising from a failed hire.
• KSHR Consulting is not responsible for the accuracy of candidate-provided information (education certificates, employment records, references). Background verification is the client's responsibility.
• AI-generated match scores are indicative only. KSHR Consulting does not warrant any specific hiring outcome based on AI assessments.

9. Termination

Either party may terminate an active search engagement with 7 days' written notice. Termination does not affect fees owed for candidates already introduced who are subsequently hired within 12 months of introduction.

KSHR Consulting may immediately terminate engagement with a client or candidate who breaches these Terms, provides materially false information, or engages in conduct detrimental to the other party.

10. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

11. Amendments

KSHR Consulting may update these Terms at any time. Material changes will be communicated by email to active clients and candidates. Continued use of our services after notification constitutes acceptance of the updated Terms.
